Geeks On Wheels London Ltd (“Us/Our/We”) provides a technical helpline to offer advice, recommendations and instructions on how to use popular consumer electronic devices (“The Service”). The Service is provided to registered users ("You/Your/Subscribers”) subject to the following Terms and Condition of Service. The Subscriber agrees to the Terms and Conditions of Service set out herein.
1. General Terms
1.1. The Service is a telephone helpline available to registered users.
1.2. The telephone helpline is to provide technical advice, recommendations and instructions on how to use popular consumer electronic devices including mobile phones, digital camera, satellite navigation systems, satellite receivers, flat panel TVs, DVD players, game consoles, sound and music systems, scanners, printers, backup systems, Windows and MAC Operating systems.
1.3. The Service is only available to consumers who require technical support for domestic use. We will not supply this Service for business related purposes.
1.4. You can access the Service by calling 0844 611 2990 during opening hours. Calls to 0844 numbers are charged at 5p per minute at all times from BT landlines but charges may vary from other networks and mobile operators.
1.5. Opening hours are Monday to Friday from 9am to 6pm G.M.T
1.6. You will be asked to confirm your identity, and answer a security question when using the Service.
1.7. We will provide the Service to the best of our abilities.
1.8. You agree to follow our agent's reasonable instructions including any security instructions. This may include instructions on how to handle your equipment, the manner and frequency by which you switch it on and off and general instructions for use.
1.9. Where your equipment contains software and/or data
1.10. You must have valid software licences for your operating system and applications. Where applicable, you must also supply details of the relevant licence keys if we ask you for them.
1.11. You must back up any software and data stored on your equipment. You agree that it is your entire responsibility to protect your equipment and to back-up all data, software, information and other files that are stored on any and all disks and drives you may have.
1.12. The Service is subject to fair usage. We may cease or suspend your use of the Service if we have reason to believe that you are using it over and above what is reasonable for this type of service.
1.13. We may cancel or suspend your use of the Service if we have reason to believe that you are failing to take reasonable care of your equipment.
2. Rights and Obligations
2.1. You undertake
2.2. to pay the amounts due for the Service in a timely manner;
2.3. that the personal Information which you provide is true, accurate, current and complete in all respects; and
2.4. to notify us immediately of any changes to your details by calling us on [insert 0844 tel number]; and
2.5. not to impersonate any other person or entity or to use a false name.
2.6. We reserve the right to modify the price or the content or withdraw, temporarily or permanently, of the Service. We also reserve the right to change or add to these Conditions from time to time.
2.7. Unless you have placed an order for the Service, we shall not be obliged to give you notice of any such modification or withdrawal.
3. Orders
3.1. The Service is available only to individuals who we, in our absolute discretion, consider eligible. The eligibility criteria include, without limitation, those whose applications are acceptable to us, those who are residents in the United Kingdom and individuals who are over 18 years old.
3.2. To order the Service, you must provide your name, phone number, address, payment details and other requested information.
3.3. Your order will be treated as an offer to purchase the Service. The contract will only be completed when we take payment from you (which includes the debiting your payment method).
3.4. You acknowledge that any automated acknowledgement given when you place an order shall not amount to our acceptance of your offer to purchase the Service.
3.5. We may, at our own discretion, limit, restrict or reject any order you place at any time prior to the contract having been completed. Where this happens, we will attempt to contact you using your personal information. We also reserve the right to limit or prohibit sales to dealers or to entities that we believe, in our sole discretion, are making use of the Service for profit.
4. Price and Payment
4.1. Where you subscribe to the Service, you enter into a 12-month contract tacitly renewable on the anniversary date of the contract
4.2. The price of the Service shall be our quoted price or, where no price has been quoted (or a quoted price is no longer valid), the price of which we inform you prior to commencing the Service. All prices are inclusive of VAT at current rates.
4.3. All payments will be collected by [Insert Company Name] either using Direct Debit in which case collections will be made every six months in advance or by credit/debit card in which case collection will be for a year’s subscription in advance.
4.4. If you fail to make any payment on the due date then, without prejudice to any other right or remedy we may have, we will be able to suspend the provision of the Service to you until payment has been received and, where you have failed to make payment despite reminders to do so, cancel this agreement.
5. Right of Cancellation and Termination
5.1. You may cancel your order at any time within 14 working days from the day you placed your order, however, you may not cancel the Service once we have started to provide any part of the Service to you with your agreement.
5.2. Any cancellation or notice of termination for the Service must be received in writing to the following address: [Insert Address]. Proof of sending does not guarantee our receipt of your notice. You must ensure that you have received an acknowledgement from us, which should be retained by you.
5.3. If you cancel your contract in this manner, we will refund any monies you have paid to us within 30 days of your cancellation.
5.4. Unless the agreement is terminated within 1 month from the date of anniversary, the agreement will be automatically renewed for another year.
5.5. Without prejudice to our rights we have under the terms of these Conditions, we reserve the right to terminate the provision of the Service to you at any time by giving you no less than 30 days notice of such termination.
5.6. Unless your service is cancelled under clauses 5.1 , or the service is terminated as per clause 5.4 or 5.5, you remain liable for the fees due for the current 12-month contract, and further, we cannot refund any part of any fees which you may already have paid in advance for the Service
6. Limitation of Liability
6.1. The Service is provided on a commercially reasonable basis. Although we will provide the Service with reasonable skill and care, we make no warranty that the Service will meet your exact requirements or that it will always be available. We do not give any warranty or other assurances as to the content of the advice given by our representatives, its accuracy, completeness, timelessness or fitness for any particular purpose.
6.2. We shall not be liable where we are unable (using reasonable effort) to provide the Service as a result of any event outside our reasonable control which shall include (but not be limited to) Acts of God, war, fires, floods, acts of terrorism, strikes, lock-outs, civil commotion, mechanical or technical difficulties.
6.3. To the full extent allowed by law and insofar as it is reasonable to do so, users of the Service agree not to hold us liable for any damage or loss suffered or incurred, or any error or omission on our part. We shall not be liable for any damage or losses (including without limitation financial loss, damages for loss in business projects, loss of profits or other consequential losses) arising in contract, tort or otherwise from the use of or any action or decision taken as a result of using the Service.
6.4. We will not be liable any loss or damage caused wholly or mainly by your breach of these Conditions.
6.5. Each provision of this clause 6 operates separately. If any part is disallowed, or is not effective, the other parts will continue to apply and they continue to apply even after this agreement has been terminated or cancelled.
7. Handling Complaints
7.1. If you ever wish to complain about the Service, we will endeavour to handle such complaints fairly, efficiently and confidentially. You can complain by calling 0844 611 2990 or in writing addressed to: Geeks On Wheels Ltd, The Old Sausage Factory, 30-31 Devonshire Place, Brighton, BN2 1QB;
8. Call Monitoring
8.1. Monitoring or recording of your calls may take place for our business purposes, such as quality control and training, to prevent unauthorised use of our telecommunications systems and to ensure effective systems operation and in order to prevent or detect crime.
9. General
9.1. Using the Service constitutes acceptance of these terms and conditions.
9.2. If any court or competent authority finds that any provision of this agreement (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of this agreement shall not be affected.
9.3. These terms and conditions shall be governed by and construed in accordance with English law and each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts. The place of performance of the Service shall be deemed to be England.
